Qualified investor under FinSA

Access to private markets and pre-IPO opportunities is reserved, in Switzerland, for qualified investors. The concept is defined by the Financial Services Act (FinSA) and the Collective Investment Schemes Act.

Qualified investors notably include professional and institutional clients, but also certain private clients with sufficient knowledge and/or a defined level of wealth (for example through an opting-out declaration meeting the statutory thresholds).

This qualification exists to protect investors: private-market products are complex, illiquid and risky. The regime assumes the qualified investor understands these risks and can bear them.

In practice, eligibility is verified before any discussion. It may require evidence of wealth, experience or professional status. Pre-IPO confirms this status ahead of any opportunity discussion.
